Reporting Violations

– The Platform reserves the right to review, suspend, or remove content or accounts violating these guidelines.

Enforcement

– The Platform may take actions such as warnings, content removal, or account suspension based on the severity of the violation.

Intellectual Property

– The Platform reserves the right to remove infringing content.

Enforcement

– The Platform may review and remove any content that violates these guidelines.
– Repeated or serious violations may result in account suspension or termination.

Creator / Talent Agreement

Introduction

This Agreement is between the Creator (“you”) and AGIFEST PRIVATE LIMITED (“we”). By using the platform, you agree to these terms.

Role of the Platform

The Platform acts as a facilitator and is not responsible for project success or reward delivery.

Creator Responsibilities

– You confirm you own or have rights to all content you upload.
– You are solely responsible for completing your project and delivering rewards to Backers.
– You will comply with all applicable Indian laws, including Intellectual Property Rights and tax laws.
– You shall not engage in fraud, misrepresentation, or illegal activities.

Project Requirements

– Clearly state goals, deliverables, and rewards.
– Be honest about timelines and potential risks.
– Update Backers regularly about progress.

Payments and Fees

– Funds raised (after platform fees) will be released as per the platform’s policies.
– You are responsible for applicable taxes, including GST if applicable.

Intellectual Property

– You retain ownership of your content.
– You grant AGIFEST PRIVATE LIMITED a non-exclusive, royalty-free license to display and promote your project.

Risks and Disclaimers

You understand that:
– Backers may request refunds; handling refunds is your responsibility.
– The Platform does not guarantee funding or project success.

Indemnity

You agree to indemnify and hold harmless AGIFEST PRIVATE LIMITED from any claims, damages, or liabilities arising from your project or conduct.

Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, India.

Backer / Sponsor Agreement

Introduction

This Agreement is between you (“Backer”) and AGIFEST PRIVATE LIMITED. By supporting a project on the Platform, you agree to these terms.

Role of the Platform

– The Platform acts only as an intermediary between Backers and Creators.
– We do not guarantee project success, completion, or delivery of rewards.

Nature of Sponsorship

– Backing a project is a form of support, not a purchase or investment.
– You understand that risks, including delays or non-delivery, are possible.

Payments and Fees

– Payments are processed through third-party gateways.
– Contributions are non-refundable unless specified by the Creator or required by law.

No Warranties

– AGIFEST PRIVATE LIMITED makes no warranties or guarantees about any project, creator, or reward.

Limitation of Liability

– AGIFEST PRIVATE LIMITED is not liable for losses, damages, or disputes related to your support of any project.

Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, India.

Platform Service Agreement

This Agreement outlines the terms under which AGIFEST PRIVATE LIMITED provides services to users (Creators and Backers). By using the Platform, you agree to these terms.

Role of the Platform

– AGIFEST PRIVATE LIMITED provides a space for creators to showcase projects and receive contributions from backers.
– AGIFEST PRIVATE LIMITED does not guarantee project success, completion, or delivery of rewards.

User Eligibility

– Users must be 18 years or older and capable of entering into a binding contract under Indian law.

Service Fees

– AGIFEST PRIVATE LIMITED may charge service fees, which will be communicated upfront.
– Fees are non-refundable unless otherwise specified.

Payment Processing

– Payments are processed through third-party gateways.
– AGIFEST PRIVATE LIMITED is not responsible for payment gateway errors or delays.

Intellectual Property

– Users retain ownership of their content but grant AGIFEST PRIVATE LIMITED rights to display, promote, and use content for platform-related purposes.

Platform Rights

– AGIFEST PRIVATE LIMITED may remove content or suspend accounts violating its policies.
– AGIFEST PRIVATE LIMITED may modify or terminate services with notice.

Limitation of Liability

– AGIFEST PRIVATE LIMITED is not liable for losses, damages, or disputes between creators and backers.
– Users assume all risks associated with platform usage.

Copyright and Intellectual Property (IP) Policy

Purpose

This policy outlines the Platform’s approach to protecting intellectual property rights of users, creators, and third parties.

– By submitting content, users grant AGIFEST PRIVATE LIMITED a non-exclusive, worldwide license to use, display, and distribute the content for platform-related purposes.

Respect for Intellectual Property

– Users must not upload, share, or promote content that infringes on any copyright, trademark, patent, or proprietary rights.
– All content must be original or properly licensed for use.

Copyright Infringement Complaints (Takedown Process)

Platform Liability Limitation

AGIFEST PRIVATE LIMITED (“we”, “our”, “the Platform”) operates as a facilitator for creative projects, enabling sponsors (“Backers”) to support artists, filmmakers, and creators (“Creators”) through financial contributions. We do not produce, own, or deliver any projects posted on the platform.

Compliance with Laws

The Platform complies with the Prevention of Money Laundering Act, 2002 (PMLA) and other applicable Indian laws and regulations.

Acceptance of Terms

By accessing or using this platform, you agree to be legally bound by these Terms of Service, our Privacy Policy, and any other policies we publish. If you do not agree, please do not use the platform.

Platform’s Role

– The Platform acts only as an intermediary.
– We are not responsible for:
– The success or failure of any project;
– Delivery of rewards or promised outcomes by Creators;
– Any disputes between Backers and Creators.
– All transactions happen at the sole risk of Backers and Creators.

Payments and Fees

– Payments are processed via third-party payment gateways (e.g., Razorpay, PayU, Paytm).
– The Platform may deduct a service fee from collected funds.
– Funds may be released to the Creator once the funding goal is met or as per platform rules.
– Taxes, if applicable, are the responsibility of Creators.

Fees and Charges

AGIFEST PRIVATE LIMITED applies a standard platform fee on all successful transactions processed through the platform. By using the platform, Users agree to the following fee structure:

1. Platform Fee:
A fee of 10% will be charged on each successful transaction made through any crowdfunding campaign on the platform.

2. Break-up of the 10% Fee:
– Platform Usage Fee (7%) – Covers platform maintenance, technology infrastructure, customer support, campaign tools, and operational expenses.
– Payment Gateway Fee (3%) – Covers charges applied by third-party payment service providers for processing payments, refunds, and secure transactions.

3. Net Amount to Campaign Creators:
After deducting the 10% fee, the remaining 90% of the transaction amount will be transferred to the campaign creator, subject to verification, settlement timelines, and compliance requirements.

4. Taxes:
All fees may be subject to applicable taxes (including GST), which will be added to the stated fee percentage wherever required by law.

5. Non-Refundable Fees:
All platform fees and payment processing charges are non-refundable, even if a campaign is suspended, cancelled, unsuccessful, or fails to deliver rewards.

6. Fee Updates:
AGIFEST PRIVATE LIMITED reserves the right to revise the fee structure at any time. Updated fees will be posted on the platform and will apply to future transactions.

Payment Data Storage and Security

AGIFEST PRIVATE LIMITED follows industry-standard security practices and regulatory requirements for the handling and storage of payment-related data. By using the platform, Users acknowledge and agree to the following:

1. Third-Party Payment Processing:
All payment transactions on the platform are processed exclusively through secure, authorized third-party payment gateways that comply with applicable laws and industry standards, including PCI-DSS (Payment Card Industry Data Security Standard).

2. No Storage of Sensitive Payment Information:
AGIFEST PRIVATE LIMITED does not store or have access to sensitive payment data, including but not limited to:
– Full credit or debit card numbers
– CVV/CVC codes
– Bank account PINs
– Net banking credentials
– UPI PINs or OTPs
All such information is encrypted and processed directly by the third-party payment gateway.

3. Limited Payment Information Storage:
AGIFEST PRIVATE LIMITED may store limited, non-sensitive transactional information required for settlements, customer support, and compliance, such as:
– Transaction ID
– Date and time of transaction
– Contribution amount
– Payment method (without revealing full card or account numbers)
– Payment status (success, pending, failed)

4. Encryption & Secure Storage Practices:
Any permitted payment-related data is stored using encrypted databases, secure servers, access controls, audit logs, and industry-standard cybersecurity measures to prevent unauthorized access.

5. Compliance With Legal Requirements:
AGIFEST PRIVATE LIMITED adheres to applicable regulations including:
– RBI guidelines for digital payments
– PCI-DSS standards (via payment gateway partners)
– Indian data protection and privacy laws
– Additional regulatory requirements as updated from time to time

6. Restricted Access:
Only authorized personnel under strict confidentiality may access non-sensitive payment data for operational, audit, compliance, or dispute resolution purposes.

7. No Liability for Third-Party Systems:
The platform is not responsible for failures, breaches, or vulnerabilities that occur within external payment gateway systems outside the direct control of AGIFEST PRIVATE LIMITED.

Payment Blocking Rights

AGIFEST PRIVATE LIMITED (“AGIF”) reserves the right, at its sole discretion, to block, hold, delay, or withhold any payment or payout associated with a User’s account or campaign if:
– AGIF suspects fraud, misuse of funds, or deceptive activity;
– The campaign or User is under investigation for breach of these Terms & Conditions, Content Standards, or any other platform policy;
– The campaign violates applicable laws, regulations, or third-party rights;
– AGIF receives complaints, disputes, or credible reports regarding the campaign’s legitimacy, safety, or intended use of funds;
– The User fails to provide required documentation, verification details, or compliance-related information;
– AGIF determines that releasing the payment may cause financial, legal, or reputational risk to contributors, the platform, or AGIF.

Payments may remain blocked until the matter is resolved to the full satisfaction of AGIFEST PRIVATE LIMITED. AGIF shall not be liable for any delays, losses, or consequences arising from such payment blocking actions.

No Financial Returns

Little Push and AGIFEST PRIVATE LIMITED do not provide any financial return in any form whatsoever, including but not limited to financial securities (debt or equity), interest, dividend, profit share, rewards in cash, or cash equivalents, to persons who contribute on Little Push. All contributions made through the platform are voluntary and non-refundable, and are not to be treated as investments or financial products.

Risks and Disclaimers

Backers understand and agree:
– Supporting a project is not the same as purchasing a product or service.
– Delivery is not guaranteed. Delays or non-delivery are possible.
– The Platform offers no warranties, guarantees, or endorsements.

Refunds

– AGIFEST PRIVATE LIMITED is not responsible for refunding Backers.
– Refunds, if applicable, are to be handled directly by the Creator.

Intellectual Property

– Creators retain ownership of their content.
– By submitting a project, Creators grant the Platform a non-exclusive, royalty-free license to display, promote, and share the content.

Prohibited Use

Users agree not to:
– Post illegal, obscene, defamatory, or infringing content;
– Attempt fraud, money laundering, or misrepresentation;
– Exploit the platform or interfere with its operation.

Indemnity

Users agree to indemnify and hold the Platform harmless against any claims, damages, or legal costs arising from:
– Their use of the platform;
– Breach of these Terms;
– Violation of any law or third-party rights.

Users agree to defend, indemnify, and hold harmless AGIFEST PRIVATE LIMITED, including its directors, officers, employees, partners, affiliates, and service providers, from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
– Users’ use of the platform operated by AGIFEST PRIVATE LIMITED, including the creation, management, backing, or participation in any crowdfunding campaign;
– Any content submitted or provided by Users (including text, images, videos, audio, artwork, logos, campaign descriptions, reward materials, updates, or other creative assets), including any claim that such content infringes, violates, or misappropriates any copyright, trademark, patent, trade secret, or other intellectual property or privacy/publicity rights;
– Any breach by Users of these Terms & Conditions, platform policies, or applicable laws;
– Any violation by Users of the rights of another person or entity, including intellectual property, contractual, proprietary, privacy, or consumer rights;
– Any campaign initiated or managed by Users, including failure to deliver rewards, misuse or mismanagement of funds, fraudulent or misleading representations, or delays, defects, safety issues, or damages arising from any reward, product, or service associated with a campaign.

This indemnity obligation will survive the termination or suspension of a User’s account and the User’s continued or past use of the platform operated by AGIFEST PRIVATE LIMITED.

Account Suspension and Termination

AGIFEST PRIVATE LIMITED reserves the right to suspend, restrict, or permanently terminate a User’s account, without prior notice, if:
– The User breaches these Terms & Conditions, the Content Standards, or any other platform policy;
– The User submits or shares content that is unlawful, misleading, harmful, infringing, abusive, or violates intellectual property, privacy, or third-party rights;
– The User engages in fraudulent, deceptive, or suspicious activities, including misuse of campaign funds, misleading representations, or attempts to manipulate campaign outcomes;
– The User’s actions pose a risk to the safety, integrity, or operation of the platform, other Users, or AGIFEST PRIVATE LIMITED;
– AGIFEST PRIVATE LIMITED determines, at its sole discretion, that continued access to the platform may cause legal, financial, operational, or reputational harm.

Upon suspension or termination, Users may lose access to their campaigns, rewards, funds, or platform features. AGIFEST PRIVATE LIMITED is under no obligation to reinstate any account or restore any data once an account has been restricted or terminated.

Limitation of Liability

AGIFEST PRIVATE LIMITED is not liable for: – Any loss or damage suffered by Backers or Creators;
– Failure or delay in project delivery;
– Technical issues or system outages.

Governing Law and Jurisdiction

– These Terms are governed by the laws of India.
– All disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
